1. Acceptance of Terms

Welcome to Seams. By accessing or using our website, mobile applications, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, please do not use the Platform.

Seams reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform with a revised effective date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

2. Description of Service

Seams is a curated online marketplace that connects customers with independent seamsters (garment makers) and fabric vendors. Our Platform enables seamsters to showcase and sell handmade, limited-run fashion items, and allows fabric vendors to supply materials to our creator community.

Seams acts as an intermediary platform. We do not manufacture, stock, or ship products. All garments and materials are created and fulfilled by independent sellers on the Platform.

3. User Accounts

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Seams reserves the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Purchases and Payments

When you purchase an item on Seams, you are buying directly from the independent seamster or vendor who listed the item. Seams facilitates the transaction but is not the seller of record.

All prices are listed in US dollars unless otherwise noted. Payment is processed through our third-party payment provider, Stripe. By making a purchase, you agree to Stripe's terms of service.

Refund and return policies are set by individual sellers. Seams may mediate disputes between buyers and sellers but is not obligated to do so.

5. Seller Terms

Seamsters and vendors who sell on the Platform agree to provide accurate descriptions of their products, fulfill orders in a timely manner, and comply with all applicable laws and regulations.

Seams charges a platform fee on each sale. The current fee structure is communicated to sellers during the onboarding process and may be updated from time to time with notice.

6. Intellectual Property

The Seams name, logo, and all related branding are trademarks of Seams. You may not use our trademarks without prior written permission.

Sellers retain ownership of their original designs and content. By listing items on Seams, sellers grant Seams a non-exclusive, worldwide license to display, promote, and distribute their content in connection with the Platform.

7. User Content

Users may submit reviews, photos, comments, and other content (“User Content”). You are solely responsible for your User Content and represent that it does not infringe on any third party's rights.

Seams reserves the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Impersonate any person or entity
• Interfere with the operation of the Platform
• Upload malicious code or attempt to gain unauthorized access
• Scrape, harvest, or collect data from the Platform without permission
• List counterfeit, stolen, or prohibited items for sale
• Engage in fraud, deception, or misleading practices

9. Limitation of Liability

To the maximum extent permitted by law, Seams shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.

Seams's total liability for any claim arising from or related to the Platform shall not exceed the amount you paid to Seams in the twelve (12) months preceding the claim.

10. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
